Terms of Service

Legacy & Land LLC ("Legacy & Land LLC," "we," "us," or "our") operates an online marketplace at legacyandlandllc.com that connects local farms, food producers, and makers ("Vendors") in Genesee and Shiawassee County, Michigan with shoppers and restaurant buyers ("you," "Buyers," or "users"). Legacy & Land LLC is operated by Legacy & Land LLC, a Michigan limited liability company.

Legacy & Land LLC is a venue and technology platform only. We provide the marketplace where Vendors list their products and Buyers discover and order them. We are not a party to any transaction between a Buyer and a Vendor.

Specifically, Legacy & Land LLC does not:

• Grow, raise, produce, handle, store, package, or inspect any product sold on the platform;
• Take possession of, warehouse, or deliver any product;
• Act as the seller, merchant of record, or guarantor of any product;
• Set Vendor prices or control Vendor fulfillment.

Every product is sold directly by the Vendor to the Buyer. The Vendor - not Legacy & Land LLC - is solely responsible for the product, its safety, its description, its fulfillment, and any applicable taxes.

You must be at least 18 years old and able to form a binding contract to use the platform. By using it, you represent that you meet these requirements and that the information you provide is accurate.

You are responsible for your account credentials and all activity under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

Consumer orders. When you place an order, you enter a contract directly with the Vendor. Payment is processed through our third-party payment processor (Stripe), and funds are paid to the Vendor. Legacy & Land LLC does not hold your funds and takes no commission on your purchase.

Fulfillment. Vendors fulfill their own orders via pickup or their own delivery. Pickup times, locations, and delivery terms are set and controlled by each Vendor and shown on their storefront. Legacy & Land LLC is not responsible for missed pickups, delivery, product availability, or product condition.

Wholesale/restaurant orders. Wholesale transactions between Vendors and restaurant Buyers are arranged and settled directly between those parties, off-platform. Legacy & Land LLC does not process wholesale payments, set wholesale terms, or guarantee any wholesale order. We provide only the catalog and ordering-request tools.

Cancellations and refunds are handled by the Vendor under the Vendor's own stated policy. Direct all order issues to the Vendor first; we may assist at our discretion but are not obligated to provide refunds.

Vendors are solely responsible for the safety, quality, legality, labeling, and accurate description of their products, and for holding all licenses their products require under Michigan and federal law.

Cottage food products. Some products are made in home kitchens under the Michigan Cottage Food Law and are not produced in an inspected facility. These products carry a required disclaimer. By purchasing them, you acknowledge this.

Allergies and dietary needs. Contact the Vendor directly with any allergy or safety questions. Legacy & Land LLC does not verify ingredient or allergen information.

You agree not to misuse the platform, including by providing false information, interfering with its operation, infringing others' rights, or using it for any unlawful purpose.

Legacy & Land LLC's name, logo, site design, and content are our property or licensed to us. Vendor storefront content belongs to the Vendor. You may not copy or reuse platform content without permission.

The platform and all products are provided "as is." To the fullest extent permitted by law, Legacy & Land LLC disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and any warranty regarding products sold by Vendors. We do not warrant that the platform will be uninterrupted or error-free.

To the fullest extent permitted by law, Legacy & Land LLC will not be liable for any indirect, incidental, special, or consequential damages, or for any harm arising from products sold by Vendors, including foodborne illness, allergic reaction, or product defect. Our total liability for any claim relating to the platform will not exceed the greater of $100 or the fees you paid us in the preceding 12 months.

You agree to indemnify and hold harmless Legacy & Land LLC from claims arising out of your use of the platform, your violation of these Terms, or, for Vendors, your products and your business.

We may modify these Terms or the platform at any time; continued use means acceptance. We may suspend or end the platform or your access at our discretion.

These Terms are governed by the laws of the State of Michigan. Disputes will be resolved in the state or federal courts located in Genesee County, Michigan.
